Modification, cancellation, and annual examination of foreign-funded enterprises

The main registration issues modification for a foreign funded enterprise, and its branches and agencies, shall have modification applications submitted to the original registration authority, for approval.

The termination and expiration of foreign funded enterprise, approval certificate invalidity, contract termination approved by examination, and approval authority shall have applications submitted to the original registration authority, for cancellation.

Foreign-invested enterprise and its branches should receive their annual exam between March 1st and June 30th of every year, according to the requirements of the company's registration organ.


Modification of company name

1. Modification registration application form for branches (administrative offices) of foreign invested enterprises;

2. Resolution or decision made by the affiliated enterprise in accordance with laws

3. Name modification certificate of the affiliated enterprise;

4. Photocopy of the business license of the affiliated enterprise;

5. Photocopy of the business license duplicate (registration certificate) of the branch (administrative office);

6. Other relevant documents and certificates (i.e., the approval document issued by the relevant authority, etc.).

Modification of business premise

1. Modification registration application form for branches (administrative offices) of foreign invested enterprises;

2. Resolution made by the affiliated enterprise in accordance with laws;

3. Certificate of using the business premise;

4. Photocopy of the business license duplicate (registration certificate) of the branch (administrative office);

5. Other relevant documents and certificates (i.e., the approval document issued by the relevant authority, etc.).


Modification of the principal

1. Modification registration application form for branches (administrative offices) of foreign invested enterprises;

2. Resolution made by the affiliated enterprise in accordance with laws;

3. Appointment and dismissal documents of the principal of the branch (administrative office) of the foreign invested enterprise; and photocopies of identification;

4. Registration form of the principal of the branch (administrative office);

5. Photocopy of the business license duplicate (registration certificate) of the branch (administrative office);

6. Other relevant documents and certificates (i.e., the approval document issued by the relevant authority, etc.).


Modification of business period

1. Modification registration application form for branches (administrative offices) of foreign-invested enterprises;

2. Resolution made by the affiliated enterprise in accordance with laws;

3. Photocopy of the business license duplicate of the affiliated enterprise;

4. Photocopy of the business license duplicate (registration certificate) of the branch (administrative office);

5. Other relevant documents and certificates (i.e., the approval document issued by the relevant authority, etc.).


Modification of business scope

1. Modification registration application form for branches (administrative offices) of foreign-invested enterprises;

2. Resolution of the board of directors of the affiliated enterprise;

3. Photocopy of the business license of the affiliated enterprise;

4. Photocopy of the business license duplicate (registration certificate) of the branch£¨administrative office£©;

5. Other relevant documents and certificates (i.e., the approval document issued by the relevant authority, etc.).

For cancellation of a foreign-funded enterprise

1.Cancellation registration application form for foreign invested enterprises signed by the responsible person of the liquidation team. Approval document issued by the original approval authority agreeing the cancellation;

2.Resolution or decision made in accordance with laws;

3.Liquidation report that has been recorded and confirmed in accordance with laws;

4.Certificate for registration of cancellation issued by taxation and customs authorities;

5.Certificate for registration of cancellation of branches;

6.The original and the duplicate business license;

7.Other relevant documents and certificates.


For registration of cancellation of a foreign-funded enterprise (non-company)

1. Cancellation registration application form for foreign-funded enterprises;

2. Approval document issued by the original approval authority agreeing the cancellation;

3. Resolution or decision made in accordance with laws;

4. Reports confirming the settlement of credits and liabilities or documents formulated by liquidation team that are responsible for settlement of credits and liabilities;

5. Duty-paid certificates issued by taxation authority and customs;

6. Certificates showing cancellation of its branches (administrative offices);

7. Original and the duplicate business license, as well as the official stamp;

8. Other relevant documents and certificates.

1. Cancellation registration application form for foreign (region) enterprise engaged in engaged in production and operating activities within the territory of China;

2. Approval document of cancellation issued by the project authority;

3. Certificate for registration of cancellation issued by taxation and customs authorities;

4. Duty-paid certificates issued by taxation authority and customs;

5. Liquidation report;

6. Original and the duplicate business license;

7. Originals of the business license and its duplicate;
